Terms of service
Last updated 25 September 2026. These terms apply when you use https://heplabs.co.nz or ask Hamilton Electronics and Prototyping Limited (GST 149-800-042) to do work.
1. Who we are
Hamilton Electronics and Prototyping Limited (“we”, “us”), GST 149-800-042, operates from Hamilton, Waikato, New Zealand. A written estimate for a specific job — including an estimate sent by email — sits with these terms for that job. Where the estimate is more specific, the estimate prevails. An estimate is not a fixed price.

2. Using this website
The website is provided to explain our services and to receive enquiries. You may use it for that purpose. You must not attempt to disrupt it, overload the enquiry form, upload malware, or submit content you are not entitled to share.
The repair guide, repair-or-replace calculator and project brief are decision aids. They are not a diagnosis, an estimate, or a promise that we will take the job.
3. Enquiries, email, Messenger and Instagram
Sending an enquiry, email, Facebook Messenger message or Instagram message does not create a contract for work and does not oblige us to repair, clone, design or estimate. Photographs and a fault description are enough for us to say whether investigation looks worthwhile. They are not a complete diagnosis.
By contacting us you agree that we may store the message and any attachments so we can reply, as described in our privacy policy.
4. Nature of the work
We provide services that may include electronics repair, obsolete module cloning, custom electronics, prototyping, fabrication, software, equipment integration, monitoring and related investigation. Work is scoped in writing before it is undertaken.
5. Estimates and investigation
An estimate is for the stated scope. It is not a fixed price. If the work turns up a complication that was not in the estimate, we say so and the extra work is agreed before we carry on. Fault-finding, feasibility and reverse-engineering may be chargeable investigation. Diagnostic fees may apply where viability cannot be established without opening, testing or research. We will tell you that cost before we start the investigation.
Prices are in New Zealand dollars. Rates and prices are GST-exclusive. GST (15%) is added unless an estimate or invoice states otherwise.
6. No guarantee of repairability or fitness of an idea
Sending photos does not create an obligation to repair. Some faults cost more than a replacement. Some damage cannot be repaired safely. An idea submitted as a prototype enquiry may be declined as uneconomic, unsafe, out of scope, or technically unsound. We will say so rather than force a poor match.
7. Customer-supplied equipment and files
Equipment is accepted for assessment at the customer’s risk of ordinary handling. We take reasonable workshop care. We are not an insurer of unique or irreplaceable items unless that is separately agreed in writing. You must be entitled to send us the equipment and any files, photographs or designs you provide. Freight to and from the workshop is at your arrangement unless we agree otherwise.
8. Intellectual property
Existing customer intellectual property remains the customer’s. New designs and software created in a paid engagement are handled as agreed in the estimate or a subsequent written agreement. Demonstration and bench projects on this website are ours unless stated otherwise.
9. Software and connected systems
Hosting, APIs, apps and monitoring systems, where supplied, depend on third-party networks, device conditions and credentials. Availability, cellular coverage and customer-side networking are outside our control unless a specific service level is written into the engagement.
10. Payment
Payment and engagement terms are in the Terms of Engagement the customer accepted, and as stated on the estimate or invoice. Bank account and GST details are on how to pay. Investigation fees, when set out before the work, are payable whether or not the unit is repairable. Title in parts we supply remains with us until paid. We may decline further work while an invoice is overdue.
11. Limitation
Nothing in these terms limits rights that cannot be excluded under the Consumer Guarantees Act 1993 or other New Zealand law. Where work is supplied to a business for business purposes, the parties may contract out of the Act to the extent the Act allows, and we do so for that work.
To the extent permitted by law, our liability for a claim is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect or consequential loss, including downtime, lost production or lost profit, except where New Zealand law does not allow that exclusion.
12. Privacy
Personal information is handled under our privacy policy, including how to request access, correction or deletion.
13. Changes
We may update these terms by publishing a new version on this page and changing the date above. A job already accepted in writing continues on the terms that applied when that estimate was accepted, unless both sides agree otherwise.
14. Governing law
These terms are governed by New Zealand law. The workshop’s local context is Hamilton, Waikato.
